Instructor Conditions

Once you have registered to become an instructor on the Acton platform, you are required to comply with these Instructor Terms. These Terms explain in detail all aspects of the Acton platform that are relevant to instructors.

As an instructor, your contract is directly with Carlie Janine Flack, owner of Acton (registered in the United Kingdom), regardless of whether payments are provided to you by another Acton affiliate at any time.

1. Instructor Obligations

As an instructor, you are responsible for all of the content you post, including lessons, quizzes, practice exams, assignments, resources, answers, course landing page content, assessments, and announcements.

You declare and guarantee that:

  • Your account information is correct and kept up to date.
  • You own or have the necessary licenses, rights, consents, permissions, and authority to authorize Acton to use the content of your courses as specified in these terms.
  • The content of your courses does not infringe any intellectual property rights of a third party;
  • You have the required qualifications, credentials, and experience (including education, training, knowledge, and skills) to teach and deliver the services you offer through the courses you create.
  • You ensure quality of service in line with industry standards and instructional services in general.

You guarantee that you will not:

  • post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, illegitimate, defamatory or libelous content or information;
  • post or transmit unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;
  • use the Services for anything other than providing tutoring, teaching, and instructional services to students;
  • engage in any activity that would require us to license or pay royalties to third parties, including the need to pay royalties for the public performance of a musical work or sound recording;
  • impersonate another person or gain unauthorized access to another person’s account;
  • interfere with or otherwise prevent other instructors from providing their services or content; nor
  • abuse Acton’s resources.

2. License to Acton

You grant Acton the rights to offer, commercialize and otherwise exploit your courses. This includes the right to add or translate subtitles into another language or otherwise modify the course to ensure accessibility. You also authorize Acton to grant these rights to the course to third parties by sublicensing, either directly to students or through third parties such as distributors, resellers, affiliate sites, offer sites and paid advertising on third-party platforms.

You have the right to delete your course or any part thereof at any time. Unless otherwise agreed, Acton’s right to license the rights in this section will cease with respect to new users 60 days after the course is withdrawn. However, (1) the rights granted to students already enrolled prior to course withdrawal will continue in accordance with the terms of those licenses, including lifetime access grants.

We may record all or any part of your content to control quality and deliver, market, promote or demonstrate. You grant Acton permission to use your name, voice or likeness to offer, deliver, market, promote, demonstrate and sell the Services, your course or Acton Content, and you waive any right of privacy, publicity or any other rights of a similar nature, to the fullest extent permitted by applicable law.

3. Trust and Security Section

Trust and security policies

You agree to abide by Acton’s trust and security policies.

You should review these policies periodically to ensure that you comply with any updates made to them. You understand that use of the Platform Services is subject to Acton’s approval, which we may grant or deny in our sole discretion.

We reserve the right to remove content, suspend payments or ban instructors for any reason, at any time and without notice, including where:

  • An instructor or content does not comply with our legal policies or conditions.
  • content is below our quality standards or has a negative impact on the student experience;
  • an instructor engages in conduct that may adversely affect Acton or result in his discredit, disparagement, scandal or public ridicule;
  • an instructor engages the services of a merchant or other business partner who violates Acton’s policies;
  • an instructor uses the Services in a manner that constitutes unfair competition, such as promoting your off-site business in a manner that violates Acton’s policies; or
  • as determined by Acton in its sole discretion.

Relationship with other users

Instructors do not have a direct contractual relationship with Acton students, so the only information you will receive about students will be that provided to you through your profile. You agree that you will not use the data you receive for purposes other than providing your services to those students on the Acton Platform, and that you will not request additional personal data or store students’ personal data outside of the Acton Platform. You agree to indemnify Acton against any claims arising out of your use of student personal data.

4. Prices

Pricing settings

When you create your course, available for purchase on Acton, you will be prompted to select a base price for it.

As a verified instructor, you will also be offered the opportunity to participate in certain promotional programs in accordance with the conditions presented in each campaign.

If you choose not to participate in any promotional campaign, we will promote your course at the base price. If you choose to participate in a promotional campaign, we may set a different discounted price or list price for your course, as described in each campaign you choose to opt-in to.

When a student makes a purchase using a foreign currency, we convert the base price or promotional campaign price corresponding to the student’s relevant currency using a system-wide foreign currency conversion rate. This conversion rate is set by Acton and is published periodically in a table of corresponding price categories by currency. These conversion rates may not be identical to the applicable market rate in effect when a transaction is processed. We reserve the right to update the conversion rate table at any time.

You grant us permission to share and access your courses free of charge with our select employees and partners, as well as in cases where we need to restore access accounts that have previously purchased your course. You understand that you will not receive any compensation in these cases.

Transaction taxes

If a student purchases a product or service in a country that requires Acton to pay sales tax, value added tax (VAT) or other similar transaction taxes, we may increase the sale price at our discretion if we determine that such taxes will apply.

 Promotional campaigns

Acton offers several optional marketing campaigns that you can choose to participate in. Optional campaigns are available to Verified Instructors only. These campaigns can help you increase your earning potential on Acton by being promoted to various groups and organizations according to each campaign.

Participation in the campaigns has no upfront cost. Participation is optional.

5. Payments

Revenue sharing

When a student purchases their course, we calculate the gross total of the sale as the amount actually received by Acton from the student.

From this total, we deduct Transaction Taxes, the mobile platform fees that apply to sales on those mobile providers.

If you do not participate in any of Acton’s promotional campaigns, and except for sales using instructor-generated coupon codes or course referral links, as described below; your revenue share will be 77% of the Net Total minus applicable deductions, such as student refunds. If we change this payment fee, we will give you 30 days’ notice by any visible means, such as by email or by posting a notice.

If you participate in any of the promotional campaigns, the relevant revenue share may be different and will be as specified in each campaign’s policy.

Acton makes all instructor payments in U.S. dollars (USD), regardless of the currency in which the sale was made. Acton will not be responsible for any foreign currency conversion fees, transfer fees, or any other processing fees you may incur. Your revenue report will show the sale price (in local currency) and your converted revenue (in USD).

Instructor coupons and course referral links

Acton’s platform allows you to generate coupon codes and referral links to offer your courses directly to your students and professional network at a discount, at Acton’s current price or for free. You may not sell discount codes on third-party websites or offer them in exchange for compensation.

If a student applies their coupon code or referral link at checkout, their revenue share will be 77% of the net total minus applicable deductions, such as student refund.

Payment procedures

In order for us to pay you on time, you must have an active PayPal account, Payoneer account or bank account (residents of eligible countries only) and keep us informed of the correct email associated with your account. You must also provide any identification information or tax documentation necessary to pay you, and you agree that we have the right to withhold appropriate taxes from your payments. We reserve the right to withhold payments or impose other penalties if we do not receive proper identification information or tax documentation from you. You understand and agree that you are ultimately responsible for any taxes on your income.

Payment will be made within 45 days from the end of the month in which we charge for a course.

As an instructor, it is your responsibility to determine whether or not you are eligible to be paid by a UK company. We reserve the right not to issue payments if fraud, copyright infringement or other violations of the law are identified.

Refunds

You agree that students have the right to receive a refund, as detailed in the Refund Policy. Instructors will not receive any revenue from transactions for which a refund has been granted.

 If a student requests a refund after we have paid the applicable instructor payment, we reserve the right to (1) deduct the refund amount from the next payment sent to the instructor or (2) require the instructor to repay the amounts that students have been reimbursed for their course, in the event that there are no more outstanding payments with the instructor or that the payments are not sufficient to cover the amounts reimbursed.

 6. Trademarks

During your time as an Acton instructor with published courses and subject to the requirements below, you may use our trademarks where authorized.

 You must:

 ·         Only use the trademark images that we make available to you.

·         Only use our trademarks in connection with the promotion and sale of your courses available at Acton or your participation in Acton; and

·         abide immediately if we ask you to stop using it.

  You must not:
 
·         Use our trademarks in a misleading or derogatory manner;

·         Use our trademarks in a way that implies we endorse, sponsor, or approve your course or services;

·         Use our trademarks in a manner that violates applicable law or in connection with obscene, indecent or illegal subject matter or material.

 

7. How to cancel or delete your account


Instructions for deleting your instructor account can be found in your instructor profile. We will use commercially reasonable efforts to pay any remaining scheduled payments due to you prior to deleting your account. You understand that if students have previously enrolled in your course, those students will still be able to access your name and that course after your account is deleted. If you need help or have difficulties deleting your account, you can contact us through our Help Center.

8. Other legal conditions

Update of these Conditions

From time to time, we may update these Terms to update, add, or reflect new or different practices. Acton reserves the right, at its sole discretion, to modify or make changes to these conditions at any time. If we make a material change, we will notify you by one of the primary means. Unless otherwise indicated, changes will be effective on the day they are posted.

By continuing to use the Services after the changes become effective, you confirm your acceptance of those changes. The revised terms will supersede all previously stated terms.

Translations

Any version of these Terms in a language other than English is provided as a convenience to you. Therefore, you confirm and accept that the English version will prevail if there are any discrepancies.

Relationship between the parties

You and we both agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.
